These Terms of Service ("Terms") are a legally binding agreement between you and SimAtomic, LLC ("SimAtomic," "we," "us," or "our") and govern your access to and use of our websites (including www.simatomic.com), applications (including app.simatomic.com), and any related hosted software, APIs, documentation, and services that link to these Terms (collectively, the "Service").
BY ACCESSING OR USING THE SERVICE, CREATING AN ACCOUNT, OR CLICKING "ACCEPT" WHEN PRESENTED WITH THESE TERMS, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, DO NOT USE THE SERVICE.
If you use the Service on behalf of an organization, you represent that you have authority to bind that organization, and "you" includes that organization.
These Terms may reference additional policies and documents, such as our Privacy Policy and any order form, statement of work, enterprise agreement, or other written agreement you and SimAtomic sign (each, an "Order"). If there is a conflict between an Order and these Terms, the Order controls for that conflict.
We may update these Terms for valid reasons, including changes in law, security requirements, or how the Service operates. We will notify account holders by email at least 30 days before materially adverse changes take effect, unless a shorter period is required by law or necessary to address an urgent security risk. Changes will not apply retroactively. If you do not accept a materially adverse change, you may end the affected Service before it takes effect and receive a refund for the unused, unexpired purchased credits and unprovided portion of prepaid service affected by that change, without double-counting the same payment. We will obtain agreement where required by law; continued use does not waive mandatory rights.
You may use the Service only if you meet all of the following conditions:
To access certain features, you may need to create an account. You agree to provide accurate, current, and complete information and to keep it updated. You are responsible for activity you authorize and for taking reasonable care to keep your credentials confidential. Responsibility for unauthorized activity is determined by applicable law and the circumstances; you are not automatically responsible for activity you did not authorize. Notify us promptly of any suspected unauthorized access or security incident.
We may remove, reclaim, or change usernames or identifiers we determine (in our discretion) are inappropriate, misleading, or infringe others' rights.
The Service provides tools to upload molecular models and related inputs, run computational workflows (including molecular docking and molecular dynamics simulations), and retrieve outputs, reports, and related artifacts ("Results").
We may change features or limits for valid reasons, such as complying with law, addressing security risks, maintaining compatibility, or improving performance and functionality. Changes beyond those needed to maintain conformity will not impose an additional charge on an existing consumer contract. We will explain changes clearly and give advance email notice of changes that materially reduce access to or use of a paid Service, with the cancellation and refund protections described above and any additional rights required by law. Except as required by applicable law or expressly stated in an Order, we do not guarantee uptime, uninterrupted availability, or a particular level of performance.
Support scope. Unless an Order expressly states otherwise, technical support covers account access and platform operation. Support does not include scientific consulting, validation of your research, custom development, or a dedicated engineer. We do not guarantee a particular response time, resolution time, or correction of every reported issue. We prioritize investigations and fixes based on factors such as severity, impact, and available resources. A bug report or feature request does not create an obligation to provide an immediate or customized fix. These limits do not affect obligations or remedies required by applicable law or an Order.
We do not provide medical, legal, regulatory, or investment advice. Services beyond the agreed platform and support scope must be set out in a separate written Order.
Beta features. Some features may be labeled alpha, beta, preview, or similar. They may be incomplete, contain errors, change, or be discontinued. Except as required by applicable law or expressly stated in an Order, beta features are provided without warranties or service levels. You are responsible for maintaining copies of your inputs and validating beta-feature Results before relying on them.
Subject to these Terms and any applicable Order, SimAtomic grants you a limited, revocable, non-exclusive, non-transferable, and non-sublicensable license to access and use the Service during the term of your subscription or other authorized access.
You may use the Service only for lawful purposes and only in accordance with these Terms. You must not (and must not allow any third party to):
You must not harass, bully, or intimidate SimAtomic personnel, contractors, or other users. This rule applies to conduct in connection with the Service, including support tickets, email, calls, and other communications with our team.
Prohibited conduct includes express or implied threats, repeated personal insults or targeted ridicule, discriminatory abuse, and deliberate disruption of support. It includes using threats of personal harm, disclosure of private information, or knowingly false allegations to obtain services, preferential treatment, or concessions. We assess conduct in context, including its severity, frequency, and pattern across communications.
Good-faith complaints, criticism, scientific disagreement, honest reviews, requests for refunds, and the lawful exercise of legal or consumer rights do not themselves violate this policy. These Terms do not restrict reports to regulators or law enforcement.
Enforcement. We may monitor use of the Service to maintain security, prevent abuse, and assess compliance with these Terms. Violations may result in restrictions on support, suspension, or termination as described in Section 10.
"Customer Content" means all data, files, structures, sequences, text, parameters, and other materials you upload or submit to the Service, as well as Results generated by the Service based on or in connection with your inputs.
You represent and warrant that you have all rights, permissions, and lawful authority necessary to submit Customer Content to the Service and to grant the rights in these Terms.
Sensitive Data. Do not submit sensitive personal data to the Service (for example, protected health information, government identifiers, financial account information, or personal birth dates). Do not include such data in research uploads, support messages, or assistant tool inputs. This restriction does not prevent you from providing ordinary account or billing details through the designated account or payment flow.
License to SimAtomic. You grant SimAtomic a worldwide, non-exclusive, royalty-free license to host, process, reproduce, and transmit Customer Content solely as necessary to provide, maintain, support, and secure the Service, prevent fraud/abuse, and comply with legal obligations. SimAtomic may display Customer Content only to you and your authorized users via the Service, to a connected assistant provider when you request that exchange, and to SimAtomic personnel and authorized subprocessors only as necessary to provide support and operate the Service, subject to confidentiality obligations.
This license does not authorize using Customer Content received through an assistant connection to train AI models or create advertising profiles.
Confidentiality. Except as otherwise agreed in an Order, Customer Content is treated as confidential between you and SimAtomic for purposes of Service delivery; however, you acknowledge that internet transmissions are never completely private or secure, and you are responsible for deciding what you choose to submit.
Security and Retention. We use commercially reasonable measures designed to protect Customer Content. Retention and deletion of personal data are described in our Privacy Policy and any applicable data processing agreement. You may request export or deletion by contacting info@simatomic.com. Termination, a payment dispute, or a violation of these Terms does not remove your statutory data protection rights.
Aggregated and De-Identified Data. We may collect and use aggregated and de-identified usage information (for example, performance metrics and feature utilization) to operate, improve, and market the Service, provided it does not identify you or disclose your Customer Content.
As between you and SimAtomic:
No rights are granted to you other than as expressly stated in these Terms or an Order. Any feedback you provide is voluntary; you grant SimAtomic the right to use feedback without restriction or obligation.
No implied co-development. Use of the Service, bug reports, feature requests, or other communications do not create joint ownership or imply any license beyond what is expressly granted in these Terms or an Order.
Certain features of the Service require payment, a subscription, or the purchase/consumption of credits ("Credits"). Pricing, billing cadence, and credit rules are shown at checkout, in the Service, or in an applicable Order.
Credit types (if offered) may include:
Credits are non-transferable and non-refundable except as required by applicable law, expressly stated in an Order, or provided elsewhere in these Terms, including Section 10 when SimAtomic terminates service without cause. If you run out of credits, jobs may pause or stop until additional credits are available.
Payments. You authorize us (and our third-party payment processors) to charge your designated payment method for amounts due. Prices may change at any time; the price shown at checkout or in an Order controls for that purchase. We may correct pricing or billing errors even if we have already requested or received payment, subject to applicable law. We will not increase an agreed consumer purchase price without your agreement where the law requires it.
Taxes. The total price shown to consumers before purchase includes applicable taxes and mandatory charges. For business purchases, fees may be stated exclusive of taxes; any applicable taxes and governmental charges will be identified before purchase or in the Order.
Nonpayment. We may suspend or terminate access for overdue, undisputed amounts under Section 10. Fees are non-cancelable and non-refundable except as required by applicable law, expressly stated in an Order, or provided elsewhere in these Terms.
Auto-Renewal and Cancellation. If you purchase a subscription, it may renew automatically at the end of each billing cycle unless you cancel prior to renewal through the Service or by contacting us. Unless otherwise stated, cancellation takes effect at the end of the then-current paid period.
If you are a consumer entitled to a statutory withdrawal period for a distance service contract, you may withdraw within 14 days after the contract is concluded without giving a reason. Send a clear statement identifying your account and purchase to info@simatomic.com or our address in Section 21 before the deadline. You may use the model notice below, but it is not required. This does not limit any other withdrawal method or longer period available under applicable law.
We will reimburse payments due under the withdrawal right within 14 days after receiving your notice, using the original payment method unless you expressly agree otherwise, without a refund fee. If you expressly requested that service begin during the withdrawal period, an amount proportionate to the service supplied before withdrawal may be payable only where the legal conditions are met. A service withdrawal right is lost on full performance only with the prior express consent and acknowledgement required by law. Accepting these Terms or starting a job does not by itself waive statutory withdrawal rights.

Consumers retain all mandatory rights concerning the supply and conformity of digital services, including correction, price reduction, or termination and reimbursement when the applicable legal conditions are met. The credit rules, support limits, beta labels, disclaimers, and liability provisions in these Terms do not remove those rights. Contact info@simatomic.com to report a problem or request a remedy.
We will not use your name, logo, or trademarks in marketing materials, press releases, customer lists, or case studies without your permission, unless an Order expressly permits otherwise.
If your use of the Service contributes to or results in a scientific, academic, or research publication, you agree to acknowledge the Service in accordance with any citation guidelines we may provide from time to time.
Our Privacy Policy explains the personal data we process, the purposes and legal bases, recipients, retention, international transfers, and your rights. Accepting these Terms or using the Service is not consent to optional marketing, non-essential tracking, or international transfers. Where consent is required, it must be obtained separately and may be withdrawn.
Where SimAtomic processes personal data on a customer's behalf as a processor, a data processing agreement meeting applicable law is required before that processing begins. These Terms and the Privacy Policy do not replace that agreement.
If you connect SimAtomic to ChatGPT, Codex, or another assistant, the connection can exchange the inputs, files, job information, and results needed for the actions you request, as described in our Privacy Policy. Review uploads and job submissions before authorizing them: they send data to SimAtomic and may consume your available compute credits. Do not put passwords, API keys, payment card details, government identifiers, or patient data in chat messages or tool inputs. Use the designated secure sign-in or authorization page for credentials.
You can disconnect the integration in the assistant's settings and revoke your SimAtomic API key in the account portal. Disconnecting stops future use of that connection; it does not cancel jobs already submitted or delete data already exchanged. Contact us to request deletion of data we hold. The assistant provider's own terms and privacy policy govern its separate service.
We respect the intellectual property rights of others. If you believe that material available on or through the Service infringes a copyright you own or control, please notify us at info@simatomic.com with sufficient detail to allow us to locate and evaluate the material. If you knowingly misrepresent that material is infringing, you may be liable for damages under applicable law.
These Terms take effect when you first access or use the Service and continue until your account is closed or your access is terminated.
Suspension or termination for cause. Subject to applicable law and any Order, we may restrict support, suspend access to all or part of the Service, or terminate your account if we reasonably determine that: (i) you materially breach these Terms, including the Acceptable Use Policy; (ii) your use poses a security risk or could subject SimAtomic or others to liability; (iii) you fail to pay overdue, undisputed fees; or (iv) action is required by law.
Immediate action. Serious or repeated violations of the communication standards, fraud, or an urgent security or safety risk may result in immediate support restrictions, suspension, or termination without prior warning. We may also act immediately where required by law. For other breaches that can be remedied, we will give written notice and a reasonable opportunity to remedy the breach before terminating access. Where legally permitted and reasonably practicable, we will notify you of the action and its basis using the email address associated with your account.
Termination without cause. Unless an Order states otherwise, SimAtomic may end your access for business reasons without alleging a breach by giving at least 30 days' written notice. In that case, we will refund the amount actually paid for unused, unexpired purchased credits and the prorated portion of prepaid subscription fees attributable to the period after termination, without double-counting the same payment. Free or promotional credits have no cash value. You will have a reasonable opportunity during the notice period to export your Customer Content or request a copy from us.
Cancellation by you. You may stop using the Service at any time. If you have a subscription, cancellation terms are governed by the Service checkout flow or an Order.
Effect on access and billing. Suspension may prevent you from running jobs or accessing some or all account features. Upon termination, your license ends and we will stop future subscription renewals. Amounts owed for service already provided remain payable. Termination for cause does not entitle you to a refund of fees or unused credits except as required by applicable law or an Order. Refunds for termination without cause are governed by the paragraph above.
Customer Content. Suspension does not itself delete your Customer Content. If access is restricted or terminated for cause, you may contact info@simatomic.com to request an export; we may limit export where necessary for security, protection of others' rights, or compliance with law. Retention and deletion remain subject to Section 4 and our Privacy Policy.
Changes to the Service are subject to the reasons, notice requirements, and protections in Section 2. We will provide updates required by applicable law to maintain the conformity and security of a consumer digital service.
The Service may occasionally be unavailable due to maintenance, outages, or other issues. Bugs, failed jobs, or interruptions do not by themselves entitle you to a refund, service credit, or other compensation, except as required by applicable law, expressly stated in an Order, or provided elsewhere in these Terms. Any related liability is subject to Section 13 and Section 14.
We may correct typographical errors, inaccuracies, or omissions in descriptions, pricing, and availability. Corrections do not override agreed purchase terms or mandatory consumer rights; material changes remain subject to the notice requirements above.
Research use only. The Service provides computational tools for research and development. It does not guarantee scientific success, experimental agreement, publication, regulatory acceptance, or completion of your project on a particular timeline.
Your research responsibilities. You are responsible for the quality, accuracy, and suitability of your input data; selecting and reviewing models, methods, parameters, and simulation settings; independently validating Results; and the conclusions, publications, decisions, or actions you base on those Results. A successfully completed computational job does not establish that its inputs, methods, or conclusions are scientifically valid. Platform outputs and support communications do not replace independent scientific judgment or validation.
Not Medical or Clinical Use. The Service is not intended for clinical use, diagnostic use, medical device use, or patient-specific decision making.
Industry-Specific Regulations. The Service is not designed to comply with industry-specific laws or regulations such as HIPAA, FISMA, or similar requirements. You must not use the Service in a manner that would violate applicable privacy, security, or financial services laws (including the Gramm-Leach-Bliley Act, where applicable).
EXCEPT AS EXPRESSLY PROVIDED IN AN ORDER AND TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE OR RESULTS WILL BE ACCURATE, COMPLETE, RELIABLE, OR ERROR-FREE, OR THAT THE SERVICE WILL BE UNINTERRUPTED OR SECURE.
Some jurisdictions do not allow certain disclaimers; to the extent such laws apply, some of the above disclaimers may not apply to you.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SIMATOMIC AND ITS DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO THE SERVICE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THESE EXCLUSIONS INCLUDE RESEARCH DELAYS, LOST RESEARCH OPPORTUNITIES, AND WASTED RESEARCH EXPENDITURES TO THE EXTENT THEY CONSTITUTE THE EXCLUDED CATEGORIES OF DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SIMATOMIC'S AGGREGATE LIABILITY FOR CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO SIMATOMIC FOR THE SERVICE IN THE SIX (6) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
These limitations apply to claims concerning inputs, Results, scientific conclusions, failed jobs, software errors, and interruptions, as well as other claims arising from the Service. Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, overrides an express obligation in an Order, or removes any refund expressly owed under Section 10.
This section applies only when you use the Service for business or professional purposes, not as a consumer. You will defend, indemnify, and hold harmless SimAtomic and its officers, directors, employees, and agents from third-party claims and associated liabilities, damages, and reasonable expenses to the extent caused by: (i) your Customer Content infringing third-party rights; (ii) your misuse of the Service; or (iii) your breach of these Terms or applicable law. This obligation does not cover claims caused by SimAtomic's breach, negligence, or willful misconduct.
You will comply with applicable export control and sanctions laws. You may not use the Service in or for the benefit of any jurisdiction or party where such use is prohibited, or where required licenses/authorizations have not been obtained.
By using the Service, you consent to receive communications from us electronically (for example, by email or through the Service). You agree that electronic notices, agreements, disclosures, and other communications satisfy any legal requirement that such communications be in writing. You agree to the use of electronic signatures and electronic records in connection with the Service to the extent permitted by law.
Unless an Order states otherwise, these Terms and your use of the Service are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law principles.
You agree that any legal action arising out of or relating to the Service or these Terms will be brought exclusively in the state or federal courts located in Delaware, and you consent to personal jurisdiction and venue in those courts and waive any objections based on forum non conveniens.
To the extent permitted by law, any claim must be brought within one (1) year after the cause of action arises, or the claim is permanently barred.
The United Nations Convention on Contracts for the International Sale of Goods (CISG) and the Uniform Computer Information Transaction Act (UCITA) do not apply to these Terms.
Nothing in this section restricts mandatory consumer protections or your rights under applicable data protection law, including the right to complain to a supervisory authority, seek a judicial remedy in a court available under that law, or claim compensation where the law provides it.
Entire Agreement. These Terms (together with any referenced policies and any applicable Order) constitute the entire agreement between you and SimAtomic regarding the Service and supersede any prior or contemporaneous agreements relating to the Service.
Assignment. You may not assign these Terms without SimAtomic's prior written consent. SimAtomic may assign these Terms as part of a merger, acquisition, corporate reorganization, or sale of assets.
Severability. If any provision of these Terms is held unlawful, void, or unenforceable, the remaining provisions remain in full force and effect.
No Waiver. Our failure to enforce any right or provision is not a waiver of that right or provision.
No Agency. These Terms do not create any joint venture, partnership, employment, or agency relationship between you and SimAtomic.
Force Majeure. SimAtomic is not responsible for any delay or failure to perform resulting from causes beyond its reasonable control.
