These Terms of Service ("Terms") are a legally binding agreement between you and SimAtomic, LLC ("SimAtomic," "we," "us," or "our") and govern your access to and use of our websites (including www.simatomic.com), applications (including app.simatomic.com), and any related hosted software, APIs, documentation, and services that link to these Terms (collectively, the "Service").
BY ACCESSING OR USING THE SERVICE, CREATING AN ACCOUNT, OR CLICKING "ACCEPT" WHEN PRESENTED WITH THESE TERMS, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, DO NOT USE THE SERVICE.
If you use the Service on behalf of an organization, you represent that you have authority to bind that organization, and "you" includes that organization.
These Terms may reference additional policies and documents, such as our Privacy Policy and any order form, statement of work, enterprise agreement, or other written agreement you and SimAtomic sign (each, an "Order"). If there is a conflict between an Order and these Terms, the Order controls for that conflict.
We may update these Terms by posting an updated version. Unless otherwise stated, changes are effective when posted, and your continued use of the Service after the "Last updated" date constitutes acceptance of the updated Terms.
You may use the Service only if you meet all of the following conditions:
To access certain features, you may need to create an account. You agree to provide accurate, current, and complete information and to keep it updated. You are responsible for all activity under your account (whether authorized by you or not), and you must keep your credentials confidential. Notify us promptly of any suspected unauthorized access or security incident.
We may remove, reclaim, or change usernames or identifiers we determine (in our discretion) are inappropriate, misleading, or infringe others' rights.
The Service provides tools to upload molecular models and related inputs, run computational workflows (including molecular docking and molecular dynamics simulations), and retrieve outputs, reports, and related artifacts ("Results").
The Service may change over time. We may add, modify, or remove features and may impose or change limits (for example, rate limits, file size limits, user limits, job limits, or compute limits). Except as expressly stated in an Order, we do not guarantee uptime, uninterrupted availability, or any specific level of performance.
Support. We may provide technical support for account access and platform operation. We do not provide medical, legal, regulatory, or investment advice. Any services beyond the platform (if offered) must be agreed in a separate written Order.
Beta Features. Some features may be labeled alpha, beta, preview, or similar. Beta features may be discontinued at any time and are provided without warranties or service levels unless an Order states otherwise.
Subject to these Terms and any applicable Order, SimAtomic grants you a limited, revocable, non-exclusive, non-transferable, and non-sublicensable license to access and use the Service during the term of your subscription or other authorized access.
You may use the Service only for lawful purposes and only in accordance with these Terms. You must not (and must not allow any third party to):
We may monitor use of the Service to maintain security, prevent abuse, and assess compliance with these Terms. We may suspend or terminate access to all or part of the Service for any violation of these Terms or for any reason permitted by law.
"Customer Content" means all data, files, structures, sequences, text, parameters, and other materials you upload or submit to the Service, as well as Results generated by the Service based on or in connection with your inputs.
You represent and warrant that you have all rights, permissions, and lawful authority necessary to submit Customer Content to the Service and to grant the rights in these Terms.
Sensitive Data. Do not submit sensitive personal data to the Service (for example, protected health information, government identifiers, financial account information, or personal birth dates). If you submit such data, you do so at your own risk and remain responsible for compliance with applicable laws.
License to SimAtomic. You grant SimAtomic a worldwide, non-exclusive, royalty-free license to host, process, reproduce, and transmit Customer Content solely as necessary to provide, maintain, support, and secure the Service, prevent fraud/abuse, and comply with legal obligations. SimAtomic may display Customer Content only to you and your authorized users via the Service, and to SimAtomic personnel and authorized subprocessors only as necessary to provide support and operate the Service, subject to confidentiality obligations.
Non-Confidentiality. Except as otherwise agreed in an Order, Customer Content is treated as confidential between you and SimAtomic for purposes of Service delivery; however, you acknowledge that internet transmissions are never completely private or secure, and you are responsible for deciding what you choose to submit.
Security and Retention. We use commercially reasonable measures designed to protect Customer Content. Unless an Order states otherwise, we may retain Customer Content for a limited period after termination to allow export and to comply with legal obligations. You may request deletion of Customer Content; we will use commercially reasonable efforts to delete within a reasonable timeframe, subject to backup and legal retention requirements.
Aggregated and De-Identified Data. We may collect and use aggregated and de-identified usage information (for example, performance metrics and feature utilization) to operate, improve, and market the Service, provided it does not identify you or disclose your Customer Content.
As between you and SimAtomic:
No rights are granted to you other than as expressly stated in these Terms or an Order. Any feedback you provide is voluntary; you grant SimAtomic the right to use feedback without restriction or obligation.
No implied co-development. Use of the Service, bug reports, feature requests, or other communications do not create joint ownership or imply any license beyond what is expressly granted in these Terms or an Order.
Certain features of the Service require payment, a subscription, or the purchase/consumption of credits ("Credits"). Pricing, billing cadence, and credit rules are shown at checkout, in the Service, or in an applicable Order.
Credit types (if offered) may include:
Credits are non-refundable and non-transferable to the fullest extent permitted by law unless expressly stated in an Order. If you run out of credits, jobs may pause or stop until additional credits are available.
Payments. You authorize us (and our third-party payment processors) to charge your designated payment method for amounts due. Prices may change at any time; the price shown at checkout or in an Order controls for that purchase. We may correct pricing or billing errors even if we have already requested or received payment.
Taxes. Fees are exclusive of taxes unless stated otherwise. You are responsible for applicable taxes, duties, and similar governmental charges, and we may collect taxes where required.
Nonpayment. We may suspend or terminate access for overdue amounts. Unless required by law or expressly stated in an Order, all fees are non-cancelable and non-refundable.
Auto-Renewal and Cancellation. If you purchase a subscription, it may renew automatically at the end of each billing cycle unless you cancel prior to renewal through the Service or by contacting us. Unless otherwise stated, cancellation takes effect at the end of the then-current paid period.
We will not use your name, logo, or trademarks in marketing materials, press releases, customer lists, or case studies without your permission, unless an Order expressly permits otherwise.
If your use of the Service contributes to or results in a scientific, academic, or research publication, you agree to acknowledge the Service in accordance with any citation guidelines we may provide from time to time.
We care about data privacy and security. Our Privacy Policy describes how we collect, use, and share personal information. By using the Service, you agree that our Privacy Policy is incorporated into and forms part of these Terms. The Service may be hosted in the United States and other countries. By using the Service, you consent to the processing and transfer of information to countries that may have different data protection laws than your country.
We respect the intellectual property rights of others. If you believe that material available on or through the Service infringes a copyright you own or control, please notify us at info@simatomic.com with sufficient detail to allow us to locate and evaluate the material. If you knowingly misrepresent that material is infringing, you may be liable for damages under applicable law.
These Terms take effect when you first access or use the Service and continue until your account is closed or your access is terminated.
We may suspend or terminate access to the Service (with or without notice, to the extent permitted by law) if: (i) you breach these Terms; (ii) your use poses a security risk or could subject SimAtomic or others to liability; (iii) we are required to do so by law; or (iv) you fail to pay undisputed fees.
You may stop using the Service at any time. If you have a subscription, cancellation terms are governed by the Service checkout flow or an Order.
Upon termination, your license ends. Subject to the Service's capabilities and any Order, you may export your Customer Content for a limited period. Unused credits are non-refundable.
We reserve the right to change, modify, or remove content or features of the Service at any time in our discretion. We have no obligation to update information on the Service.
The Service may occasionally be unavailable due to maintenance, outages, or other issues. We are not liable for any loss, damage, or inconvenience caused by your inability to access or use the Service during any downtime.
We may correct typographical errors, inaccuracies, or omissions (including in descriptions, pricing, and availability) and change or update information at any time without prior notice.
Research Use Only. The Service is intended for research and development purposes. You are solely responsible for validating Results and for decisions or actions taken based on Results.
Not Medical or Clinical Use. The Service is not intended for clinical use, diagnostic use, medical device use, or patient-specific decision making.
Industry-Specific Regulations. The Service is not designed to comply with industry-specific laws or regulations such as HIPAA, FISMA, or similar requirements. You must not use the Service in a manner that would violate applicable privacy, security, or financial services laws (including the Gramm-Leach-Bliley Act, where applicable).
TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE OR RESULTS WILL BE ACCURATE, COMPLETE, RELIABLE, OR ERROR-FREE, OR THAT THE SERVICE WILL BE UNINTERRUPTED OR SECURE.
Some jurisdictions do not allow certain disclaimers; to the extent such laws apply, some of the above disclaimers may not apply to you.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SIMATOMIC AND ITS DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO THE SERVICE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SIMATOMIC'S AGGREGATE LIABILITY FOR CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO SIMATOMIC FOR THE SERVICE IN THE SIX (6) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
You will defend, indemnify, and hold harmless SimAtomic and its officers, directors, employees, and agents from and against third-party claims and associated liabilities, damages, and expenses (including reasonable attorneys' fees) arising from or related to: (i) your Customer Content; (ii) your misuse of the Service; or (iii) your violation of these Terms or applicable law.
You will comply with applicable export control and sanctions laws. You may not use the Service in or for the benefit of any jurisdiction or party where such use is prohibited, or where required licenses/authorizations have not been obtained.
By using the Service, you consent to receive communications from us electronically (for example, by email or through the Service). You agree that electronic notices, agreements, disclosures, and other communications satisfy any legal requirement that such communications be in writing. You agree to the use of electronic signatures and electronic records in connection with the Service to the extent permitted by law.
Unless an Order states otherwise, these Terms and your use of the Service are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law principles.
You agree that any legal action arising out of or relating to the Service or these Terms will be brought exclusively in the state or federal courts located in Delaware, and you consent to personal jurisdiction and venue in those courts and waive any objections based on forum non conveniens.
To the extent permitted by law, any claim must be brought within one (1) year after the cause of action arises, or the claim is permanently barred.
The United Nations Convention on Contracts for the International Sale of Goods (CISG) and the Uniform Computer Information Transaction Act (UCITA) do not apply to these Terms.
Entire Agreement. These Terms (together with any referenced policies and any applicable Order) constitute the entire agreement between you and SimAtomic regarding the Service and supersede any prior or contemporaneous agreements relating to the Service.
Assignment. You may not assign these Terms without SimAtomic's prior written consent. SimAtomic may assign these Terms as part of a merger, acquisition, corporate reorganization, or sale of assets.
Severability. If any provision of these Terms is held unlawful, void, or unenforceable, the remaining provisions remain in full force and effect.
No Waiver. Our failure to enforce any right or provision is not a waiver of that right or provision.
No Agency. These Terms do not create any joint venture, partnership, employment, or agency relationship between you and SimAtomic.
Force Majeure. SimAtomic is not responsible for any delay or failure to perform resulting from causes beyond its reasonable control.
